RIVER PLACE SOUTH HOUSING CORPORATION
BOARD OF DIRECTORS MEETING
May 22, 2018

CALL TO ORDER: Ms. Mays called the meeting to order at 6:05 p.m.

RESIDENT PARTICIPATION:
 
  • Ms. Muniz said she was parking her car and another resident told her she was parked too close even though she was within the lines. The other resident, she said, asked if she was on the Board and was very intimidating. The other resident did not give her his name but drove off. Mr. Ali replied that he was sorry and that the Board has no privileges. He also suggested contacting the OA which is in charge of parking but that if she felt threatened, she should call the gatehouse. Ms. Muniz said the concierge called the gatehouse but there was no answer. Mr. Ali added that the OA representative can find out why the gatehouse did not reply. Mr. McInerney agreed that the other resident was in the wrong. Ms. Muniz added that she was a new owner but has lived in the community for 5 years. She said her only other issue was with the barking dog. Ms. Waters replied that the dog owner has moved and suggested sending her an email in that situation.
       
    APPROVAL OF AGENDA:
     
    MOTION:  Mr. Ali moved, Mr. Williams seconded, to approve the agenda as written. The motion passed unanimously (4-0-0).
     
    APPROVAL OF MINUTES:
     
    MOTION:  Mr. Williams moved, Mr. Ali seconded, to approve the Minutes of April 24, 2018 as amended. The motion passed unanimously (4-0-0).
     
    REPORTS:
     
    President: Ms. Mays said that according to the tax people, RPS cannot change its tax entity from a corporation and that to do so will cost more. She also said that RPS does not pay tax on rentals. She added that RPS can give shareholders a dividend in the form of a credit against shareholder fees but it will add an administrative cost that will not save money.
     
    Treasurer: Mr. McInerney said that the corporation was in good shape.
     
    OA: Mr. Ali said that in terms of the land lease issue, Board presidents met with Monday Properties for the second time and that the tenor was the same. He also said that it will take a while to formalize the meetings and address the situation so that everyone benefits. Ms. Mays also said that the OA put new roofs on the pool house, grocery store, and other peripheral buildings. She added that landscaping will be improved in stages. Mr. Williams also said that the OA was getting bids to improve safety and repair damages in the garages.
     
    MANAGER’S REPORT:
     
    Convector Cleaning and Spring Inspection: Convector cleaning is wrapping up and owners will be charged to revisit if units were not available.
     
    Eleventh Floor Windows: Hi Rise Windows has submitted a bid of $67,899 to replace the side and front windows of #1110.
     
    Roof and Roof Shielding: Project was delayed by the weather and issues with AT&T and T-Mobile upgrades. However, fixing water leaks will cost about $10,000.
     
    Cuprotect Copper Shielding: The final bill for the 4 wings of copper shielding is $43,905.
     
    Short-Term Leases: Management is requiring leases and must be diligent about providing lengths of leases. Fines have been assessed and maintenance/services will be denied for any overdue invoices.
     
    Water Leaks: Water is coming into #1030 through cracks where the wall meets the terrace. The leak will be reported to the insurance company, but repairs may not cost as much as the $10,000 deductible. A temporary fix was made but all terraces should be waterproofed. A convector leak damaged the carpet in #601.
     
    OLD BUSINESS: None.
     
    NEW BUSINESS: None.
     
    EXECUTIVE SESSION:
     
    There being no further business for the open session, an Executive Session was convened at 6:38 p.m.
